Disclosure:

You sign a non-disclosure agreement promising to maintain confidentiality for all the information provided to you on the businesses we discuss and introduce to you.

Background Information

Background Information:

You provide us with information about yourself, such as a resume and financial statement. The more we know about you the more likely we can find a business you will like. The more information we provide the seller the better the terms he or she will consider when receiving an Offer To Purchase from you.

Review:

Together we discuss and review the types of businesses that you are interested in and that fit your down payment range, area of town and lifestyle and select some that appeal to you.

Introduction:

We introduce you to the businesses you are interested in and discuss the important factors of each. Introductions can be made by you personally and confidentially viewing the locations or a professional agent is ready to personally take you to each location available for viewing. After hours meetings can be scheduled to accommodate you with the Seller, just let your agent know to start the process.

Confidential Meeting:

ConfidentialA meeting between you, the seller and us may take place. This gives you the chance to ask any questions you may have about the business operations and to describe your qualifications to the seller.

Offer to Purchase:

You write, with our assistance, an offer to purchase for the business you like. Earnest money is required to demonstrate the seriousness to the seller. Most offers are contingent upon your inspection of the books and records, lease terms and assets of the business.

Present Offer:

We present your offer to the seller on your behalf; we work extremely hard on negotiating a satisfactory offer to purchase so that both parties are happy. It is our expert opinion that this is one of the toughest parts of putting the buyer and seller together.

Background & Experience:

We give the seller your background, financial information, experience and point of view in arriving at the offering price, terms and conditions. Favorable background information about you will result in favorable consideration of your offer. This will also help the Seller in his decision to consider owner financing.

Explanation:

We carefully explain the terms and conditions of the offer to the seller and decision makers. Acceptance: The seller accepts the offer to purchase as presented or submits a counteroffer.

Mutual Acceptance:

When buyer and seller agree to all terms and conditions of the offer to purchase, the offer becomes a binding Purchase and Sale Agreement. Inspection: You meet with the seller and your agent from Georgia Realty Specialists to examine the financial records, lease agreement and list of assets to be transferred with the sale. Any questions you have are resolved at this time.

Contingency Removal:

You remove all contingencies in the Agreement, before a closing is set. We work hard on providing you all the necessary information, and set an observation period with the seller, if necessary to verify sales volume to make you feel comfortable.

Lease

Lease Assignment:

We work with the landlord and seller to get an assignment, transfer of the current lease or a new lease for you.

 

Escrow/Closing Attorney:

We provide all documents to the transferring agent or attorneys so they can prepare the closing documents. They conduct lien searches and also make arrangements to assign any notes or equipment leases.

Inventory:

Arrangements are made for you and the seller to count and price the inventory (if required).

Transfer of Ownership/Successful Closing:

All parties meet to sign documents. Congratulations!
